Walther Transaction advised Munich-based iteratec GmbH on its search for a suitable strategic acquisition.

iteratec is a software and technology company that develops individual digital solutions for its customers, from the initial idea through implementation and operation to empowering the respective organizations. The company was looking to further expand its end-to-end service portfolio. With the acquisition of HI NEXT, an agency specializing in digital business innovation, iteratec will be able to support its customers even more effectively in the early phases of digital product and business model development and strengthen its position as a strategic partner for sophisticated digitalization projects.

iteratec had already submitted a term sheet for HI NEXT and commissioned Walther Transaction to review and validate the target's financial documents, particularly with regard to the valuation. Furthermore, iteratec required professional management of the buy-side process in the further negotiation phase, which was successfully completed in September 2023.

Transaction in the healthcare sector: Walther Transaction advised on the acquisition of Uniqsana by Darwin

Walther Transaction advised Darwin AG in its search for a suitable acquisition target and was able to find a suitable partner in Uniqsana GmbH & Co. KG, a state-of-the-art clean room laboratory for the in-house production of individual drugs based in Heilbronn.

Darwin is one of the leading biotechnology companies in Europe and is active in the field of preventive and lifestyle genetic testing, as well as individualized nutritional supplements and cosmetics. Walther Transaction worked with Darwin in a longer-term partnership with the aim of identifying and qualifying suitable acquisition targets in complementary areas such as laboratory services, personalized nutritional supplements and cosmetics.

French-Romanian-German transaction in the outdoor helmet industry

Walther Transaction advises 2Ride Holding, a global player in the manufacturing and distribution of protective equipment for bikers, motorcyclists and skiers based in France and a portfolio company of two French Private Equity funds, Eurazeo Mid-Cap (EMC) and Naxicap, in its search for a premium brand in the outdoor helmet market with a production in Europe.

Walther Transaction works on a long-term partnership for selected portfolio companies of EMC with the aim to systematically identify suitable add-on companies in DACH and CEE and to accompany the transaction process until closing.

After intensive discussions of the target criteria with 2Ride, market research and the confidential approach of all relevant target companies in the market, Walther Transaction identified CASCO as a suitable strategic partner. CASCO is a premium European brand of helmets & glasses located in Satu Mare/Romania and Bretnig/Germany. Since its creation in 1989, CASCO has focused on designing and manufacturing, in its own factory in Romania, top quality and innovative products dedicated to horse riding, cycling and skiing. Please find attached the detailed press release on the transaction here.

Successful buy & built strategy in the German care sector

Walther Transaction GmbH has been actively supporting the buy & build strategy of the care group aiutanda since 2018 with the first transaction in May 2019. In October 2021 we have together realized the ninth corporate transaction.

In the most recent transaction, Walther Transaction exclusively advised aiutanda on the purchase of motion-center Holger Otto GmbH, based in Rendsburg (north of Hamburg), which specializes in homecare and the provision of medical aids. The managing partner Holger Otto has – together with three partners – successfully built up the company. After a transitional period, Mr. Otto will leave the company, while the remaining management will continue to accompany the further growth of today 7 sites, € 10 million turnover and 140 employees.

French-German transaction in the medical technology sector

Walther Transaction GmbH advised Péters Surgical, a manufacturer of medical devices and disposable surgical products based in Bobigny/Paris. Walther Transaction was commissioned to develop and support the implementation of an inorganic growth strategy in order to expand the company's previously minimal market presence in Germany and Eastern Europe. 

After intensive discussion of the target criteria, market research and the confidential approach of relevant target companies, Catgut GmbH from Markneukirchen in Saxony was identified as a suitable strategic partner. Catgut is a manufacturer of surgical sutures with long-standing tradition and owns the subsidiary TNI Medical, one of the few remaining producers of surgical needles in Europe. 

Walther Transaction initiated the transaction and assisted throughout the process of getting to know each other, exploring partnership opportunities, negotiating the letter of intent, contract negotiation up to the successful closing of the transaction here.

Transaction and professionalization of medical supply stores

Medical supply stores see themselves as several trading and service companies under one roof. Managing these requires various competences. When it comes to succession, more and more health care supply stores are deciding to sell their business to a group with a long-term focus.

The group supported by Walther Transaction has so far taken over two companies from the medical supply store/homecare sector and will continue to develop them together with the management level in a sustainable and future-oriented manner.

Development and expansion of business segments through eight acquisitions

The vision of the long-standing client is to be the leading IT service provider in the German healthcare sector and to successfully operate several business areas. He has succeeded in doing so thanks to several strategic acquisitions, all of which contribute to the expansion of the group: For instance, the IT service provider defended its position as market leader in the area of prescription invoicing for pharmacies with an acquisition, among other measures.

The second business area - IT systems for pharmacies - was initially established through three acquisitions. At a later stage, the company merged with a market player and acquired another company. Today the integrated unit is likewise the market leader in its segment.

The third business area - prescription invoicing for other service providers - was acquired by the group at a favorable time following a restructuring situation and has since defended its top 3 position in its segment.

Finally, the fourth business area - software solutions in the nursing market - was established based on a deliberate strategic decision, for which an acquisition has up until now taken place.

Establishment of a care group through acquisitions

After the successful establishment of a care group in the field of outpatient intensive care between 2010 and 2016, a group of entrepreneurs commenced to develop a new group of outpatient health and elderly care services in early 2018. This group will be managed in the long term without any sales intentions and with mid-sized structures and values.

Owners of nursing services who are interested in selling to this group will benefit not only from an attractive sales price but also from the group's know-how, particularly in the areas of digitalization, personnel recruitment and management, as well as billing issues.

Walther Transaction systematically searches for and qualifies nursing services that are willing to sell; twelve offers have been issued to date.
